About these Terms
These Terms and Conditions (the "Terms") are a binding agreement between you and Derechos del Fútbol, LLC, a Delaware limited liability company ("MINERVA", "we", "us"), which operates MINERVA Business Academy at minervabusiness.com. They govern your use of our website, our online campus, our courses and any related services (together, the "Services").
By creating an account, buying a course or otherwise using the Services, you accept these Terms. If you do not agree with them, you must not use the Services.
Our Purchase Terms, our Refund Policy and our Certificate Policy form part of these Terms. Our Privacy Policy and our Cookie Policy explain how we handle personal information.
Who can use MINERVA
- You must be at least 18 years old, or the age of majority in your country of residence if it is higher, to create an account and use the Services independently.
- If you are under that age, you may use the Services only with the consent and under the supervision of a parent or legal guardian. That person must accept these Terms on your behalf and make any purchase, and is responsible for your use of the Services.
- You may not use the Services if applicable law prohibits you from doing so, including if you are located or ordinarily resident in a country or region subject to comprehensive United States sanctions, or if you are named on a United States government list of prohibited or restricted parties.
Your account
- Your account is personal: it may be used by one person only, and you may not share, transfer or sell it.
- You must provide accurate and complete information, in particular your name and email address, and keep it up to date.
- You must keep your password and any other credentials confidential and must not allow anyone else to use them.
- You are responsible for all activity in your account. If you believe that someone has accessed it without your permission, tell us immediately at info@minervabusiness.com.
- We may ask you to verify your email address, and we may refuse or cancel an account registered with false information.
Our services
MINERVA offers online professional courses. Depending on the course, they may include recorded lessons, readings, practice activities, simulations, assessments, downloadable materials and live sessions, and they may lead to a certificate. Each course page describes the content, format, language, access period and type of certificate of the course.
If a live session is going to be recorded, we will tell you before it starts.
We work to keep the Services available and secure, but we do not guarantee that they will be uninterrupted or free of errors. We may carry out maintenance and may update, improve or withdraw features of the Services. Changes to a course you have bought are governed by our Purchase Terms.
Purchases
Purchases of courses on MINERVA are governed by our Purchase Terms, which explain what you buy, prices and taxes, payment, access, chargebacks and changes to courses. When you buy a course, you also accept the Purchase Terms in force at the time of your purchase.
No refunds
All purchases are final. We do not offer refunds, except where required by applicable law or as described in our Refund Policy.
Licence to use the content
Subject to these Terms and to payment of the price, we grant you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the courses in which you are enrolled, for your own learning and professional development, during the access period of your purchase.
You may apply what you learn in your own work and use any templates or tools that a course provides for that purpose. You may not copy, distribute, publish or share the course materials themselves, except as expressly allowed by a feature of the Services. We may revoke this licence if you breach these Terms. All rights not expressly granted to you are reserved.
Acceptable use
When you use the Services, you must not:
- share your account or credentials, or allow anyone else to access a course through your account;
- record, capture, download, copy or redistribute videos, live sessions or other course content, except through download features that we provide;
- resell, sublicense, rent or otherwise commercially exploit course content, or use it to deliver training to others;
- use bots, scrapers or other automated means to access the Services or to extract data or content from them;
- use course content to train, fine-tune or develop artificial intelligence or machine-learning models, or to build datasets;
- circumvent, disable or interfere with security features, access controls or other technical measures that protect the Services or their content;
- use a MINERVA certificate in a misleading way, for example by altering it, by presenting it as a different kind of qualification or by claiming a certificate that you have not earned;
- share or publish the questions or answers of graded assessments, or submit work that is not your own;
- misrepresent your identity or your location, for example to obtain a price intended for another country;
- access or attempt to access other people's accounts or data, or disrupt or overload the Services;
- upload or send content that is unlawful, infringing, defamatory, harassing or otherwise harmful; or
- use the Services in breach of any applicable law.
Intellectual property and third-party trademarks
The Services and their content, including videos, texts, assessments, software, designs and the MINERVA and MINERVA Business Academy names and logos, belong to MINERVA or its licensors and are protected by intellectual property laws. Apart from the licence described above, these Terms do not grant you any rights over them.
Other names, logos and trademarks mentioned in the Services belong to their respective owners. References to third-party organisations, such as FIFA, are for educational purposes only and do not imply any affiliation, sponsorship or endorsement. Where a course explains rules or regulations issued by a third party, the official texts published by that third party prevail.
If you believe that content on MINERVA infringes your rights, write to info@minervabusiness.com with enough detail for us to identify the content and assess your claim.
Certificates
MINERVA issues certificates to learners who meet the criteria published for each course. MINERVA certificates are private credentials. They are not academic degrees, professional licences or qualifications issued by any government, university or third-party organisation.
Anyone can check the authenticity and status of a certificate with its code on our verification page. We may revoke a certificate obtained through fraud, a lack of academic integrity or an improper chargeback. Our Certificate Policy explains how certificates are earned, issued, verified, corrected and revoked.
Educational content; no guarantee of results
Our courses are provided for educational and informational purposes only. They are not legal, financial, tax or any other kind of professional advice, and they do not replace the advice of a qualified professional on your specific situation.
We do not guarantee any particular result from taking a course, including passing an exam set by a third party, obtaining a licence, getting clients or finding employment. Your results depend on many factors outside our control, including your own effort.
Where a course covers rules or regulations, we indicate the date to which its content is current. Those rules may change after that date, and you should check the official sources before relying on them.
Your content
You keep ownership of the content you submit through the Services, such as assignments, answers, messages, comments and reviews ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and otherwise process Your Content as needed to operate the Services, for example so that instructors can review and grade your work and so that your reviews can be displayed on MINERVA. We will not publish your assignments or other submissions outside your course without your permission.
You are responsible for Your Content and confirm that you have the rights needed to submit it. We may remove content that breaches these Terms or the law. We do not remove or hide reviews because they are negative.
Third-party services
Some features of the Services rely on third parties, such as Stripe for payments, Vimeo for video playback and, where a course includes live sessions, video-conferencing providers. We use measurement and advertising services from Google and Meta only with your consent. When you use these features, the third party's own terms and policies may also apply. We are not responsible for services or websites of third parties that we do not control, including websites that we link to.
Suspension and termination
You may stop using the Services at any time and may ask us to close your account by writing to info@minervabusiness.com. Closing your account ends your access to your courses and does not entitle you to a refund.
We may suspend or terminate your access to all or part of the Services if you breach these Terms, if the law requires us to do so, or if it is necessary to protect the Services, other users or third parties, for example in cases of fraud, account sharing or unauthorised copying of content. Where reasonable, we will notify you and give you an opportunity to respond before acting, unless doing so would be unlawful or would put the security of the Services at risk. If we terminate your access because you breached these Terms, you are not entitled to a refund.
Provisions that by their nature are intended to survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnification and governing law, will continue to apply.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". Except as expressly stated in these Terms, we make no warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded or limited under the law that applies to you, including any legal guarantee that digital content and services must conform to the contract.
Limitation of liability
To the maximum extent permitted by law, neither MINERVA nor its members, managers, employees, instructors or service providers will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business opportunities, data or goodwill, arising out of or in connection with the Services or these Terms.
To the maximum extent permitted by law, our total liability for all claims arising out of or in connection with the Services or these Terms will not exceed the total amount you paid us in the 12 months before the event that gave rise to the claim.
These limitations do not apply to liability that cannot be excluded or limited by law, such as liability for fraud, for death or personal injury caused by negligence, or under mandatory consumer protection rules.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless MINERVA and its members, managers, employees and instructors against any claims, losses, damages and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services or Your Content. If you are a consumer, this section applies only to the extent permitted by the law of your country of residence.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved exclusively by the state or federal courts located in Delaware. If you are a consumer, you keep any protection that the mandatory law of your country of residence grants you.
Before starting any proceedings, please contact us at info@minervabusiness.com so that we can try to resolve the matter informally.
Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Services or to the law. We will publish each new version on this page with its effective date and, if the changes are significant, we will notify you in advance by email or through the Services. Changes do not apply retroactively: each purchase remains governed by the Purchase Terms you accepted when you made it. If you continue to use the Services after a new version takes effect, you accept it; if you do not agree with it, you must stop using the Services.
Language
These Terms are written in English. Translations are provided for convenience; if there is any inconsistency, the English version prevails.
